Welcome to Portvill.com. This User Agreement and Terms of Use (the "Agreement") constitutes a legally binding agreement governing your access to and use of the Portvill.com website, mobile applications, user account, property listings, booking-request functionality, advertising services, paid tariff plans, internal account balance, and other services made available through Portvill.com (collectively, the "Platform" or "Services").
By registering an account, accessing or using the Platform, submitting a property or company listing, purchasing a Service, topping up your Portvill Account Balance, or otherwise using Portvill.com, you confirm that you have read, understood, and agreed to this Agreement and our Privacy Policy.

In this Agreement, "Portvill", "Portvill.com", "we", "us", and "our" refer to the operator of the Platform identified in this Section.
2.1. Real Estate Aggregator. Portvill.com is an online real estate advertising, aggregation, property discovery, and communication platform. The Platform allows property owners, private sellers, real estate agents, agencies, developers, property managers, hotels, and other authorized users to publish information about properties and related businesses.
2.2. Portvill Does Not Sell or Rent Real Estate. Unless expressly stated otherwise, Portvill does not own, sell, purchase, lease, rent, manage, inspect, appraise, or control properties listed by Users.
2.3. Portvill Is Not a Party to Real Estate Transactions. Any purchase, sale, lease, rental, accommodation, deposit, reservation payment, commission, or other property transaction is entered into directly between the relevant Users, owners, agents, agencies, developers, hotels, or other third parties.
2.4. No Collection of Property Transaction Funds. Portvill does not use Stripe or the other payment methods described in this Agreement to collect purchase prices, rental payments, accommodation payments, booking payments, security deposits, escrow funds, real estate commissions, mortgage payments, investment funds, or other amounts payable to property owners, agents, developers, hotels, or third-party sellers.
2.5. No Payment Facilitation for Third-Party Sellers. Payments processed through Portvill for Portvill Account Balance top-ups are payments made to Portvill exclusively for the purchase of Portvill's own digital listing, advertising, promotional, and related Platform Services. Portvill does not receive settlement proceeds on behalf of property owners or other third-party sellers and does not transfer a User's Portvill Account Balance to such third parties.
2.6. Booking Requests. Portvill may provide functionality allowing a User to submit a booking or availability request for a property, hotel, or accommodation. Portvill forwards the request or relevant contact information to the applicable owner, host, hotel, property manager, or other provider. Confirmation or rejection is provided by that provider, and any further communication and payment arrangements take place directly between the parties.
2.7. No Booking Payments to Portvill. Portvill does not charge Users for the property booking itself and does not collect accommodation or rental payments on behalf of Hosts through the Portvill Account Balance or Portvill's payment processing integrations.
2.8. Independent Third Parties. Property owners, agents, agencies, developers, property managers, and hotels are independent third parties and are not employees, partners, representatives, or agents of Portvill merely because they use the Platform.
3.1. You must be at least 18 years old and legally capable of entering into binding agreements to create and use a Portvill account.
3.2. During registration, Portvill may request information including your first name, last name, email address, telephone number, and other information reasonably necessary to provide the Services.
3.3. You must provide accurate, current, and complete information and keep your account information up to date.
3.4. You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account, except to the extent caused by Portvill's failure to comply with applicable security obligations.
3.5. You must promptly notify Portvill if you reasonably believe that your account has been accessed without authorization.
4.1. Portvill may verify telephone numbers, email addresses, company information, agency information, websites, licenses, registrations, and other information submitted to the Platform.
4.2. Private individuals may be verified through their telephone number or other reasonable verification methods.
4.3. Companies, agencies, developers, and other professional Users may be requested to provide business registration information, agency or professional licenses, company information, and other documentation reasonably necessary to verify their business.
4.4. Portvill may compare a telephone number or other contact information submitted by a company with information published on the company's official website or other legitimate public sources.
4.5. Portvill does not ordinarily request or store copies of passports or national identity cards as part of standard User registration. Payment processors and other regulated service providers may conduct their own identity or compliance verification under their respective terms and privacy policies.
4.6. Portvill may refuse verification, registration, publication, or continued access where information appears false, misleading, unverifiable, fraudulent, unlawful, or inconsistent with Platform rules.
5.1. Users may submit property descriptions, addresses, approximate or precise locations, coordinates, photographs, videos, prices, property characteristics, company information, contact information, telephone numbers, email addresses, website links, messenger information, and other content permitted by the Platform.
5.2. You are solely responsible for ensuring that information you publish is accurate, lawful, current, and not misleading.
5.3. You represent and warrant that you have all necessary rights, permissions, licenses, and authority to publish the submitted listing and content.
5.4. Listings must relate to genuine properties, businesses, or services that the User is legally authorized to advertise.
5.5. Portvill may establish additional publication, formatting, duplication, quality, category, photograph, contact-information, and moderation rules through the Platform. Such rules form part of this Agreement when made available to Users.
6.1. You retain ownership of content that you lawfully own and upload to Portvill.
6.2. By submitting property listings, descriptions, photographs, videos, logos, reviews, ratings, company information, or other content, you grant Portvill a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for technical and formatting purposes, translate, distribute, display, publish, index, promote, and otherwise use that content as reasonably necessary to operate, improve, advertise, and promote the Platform and the listing.
6.3. This license includes use of publicly submitted property photographs and listing content in Portvill search results, SEO landing pages, social media, newsletters, advertising campaigns, promotional materials, and other marketing channels used to promote Portvill or the relevant listing.
6.4. The license generally continues while the content is available on the Platform and for a reasonable period afterward where necessary for technical backups, caching, archived search results, legal compliance, or promotional materials already created or distributed.
6.5. Portvill will not acquire ownership of your intellectual property merely because you submit it to the Platform.
7.1. Property listings are subject to mandatory moderation before initial publication.
7.2. A listing may be returned to moderation after the User edits or materially changes it.
7.3. Initial moderation is generally completed within 24 hours after submission under normal Platform operation.
7.4. Portvill may approve, reject, suspend, hide, unpublish, or remove listings that are fraudulent, misleading, illegal, duplicate, inaccurate, discriminatory, infringing, harmful, prohibited, technically unsuitable, inconsistent with Platform rules, or otherwise reasonably considered inappropriate for publication.
7.5. If a listing is removed or rejected, the listing slot made available under the User's tariff plan may become available for another eligible listing. Removal of one listing therefore does not automatically constitute loss of the entire tariff plan.
8.1. Portvill provides its own digital services directly to Users. These may include property listing capacity, company or agency tariff plans, listing publication features, listing promotion, Top Listing or raise-up functions, highlighted listings, High Demand labels, Pin to Top placement, Premium Showcase placement, advertising packages, and other promotional or digital services displayed on the Platform.
8.2. Current Services, prices, durations, features, and limitations are displayed on the relevant Platform pages, including:

8.3. Portvill may add, modify, discontinue, rename, or change the price or functionality of Services prospectively. Changes do not retroactively alter a Service already purchased for a defined period unless required by law or necessary for security, legal, or technical reasons.
8.4. Portvill sells exclusively digital Services. No physical goods are sold or delivered through Portvill's paid-service checkout.
9.1. Users may add funds to an internal Portvill account balance ("Portvill Account Balance") through supported payment methods.
9.2. The Portvill Account Balance may only be used to purchase Services supplied directly by Portvill.
9.3. The Portvill Account Balance cannot be used to purchase, rent, reserve, finance, or place a deposit on real estate or accommodation.
9.4. The Portvill Account Balance cannot be transferred to another User, property owner, agent, agency, developer, hotel, merchant, or other third party.
9.5. The Portvill Account Balance cannot be withdrawn to a bank account, payment card, cryptocurrency wallet, or other payment method except where a refund is expressly permitted by Section 14 of this Agreement or required by applicable law.
9.6. The Portvill Account Balance is not a bank account, deposit account, payment account, cryptocurrency, investment product, security, escrow service, or interest-bearing financial instrument.
9.7. Portvill does not pay interest or investment returns on Account Balance amounts.
9.8. Users may not buy, sell, exchange, trade, transfer, or commercially resell Portvill Account Balance.
9.9. Portvill Account Balance represents prepaid value usable solely for Portvill's own eligible digital Services, subject to this Agreement.
10.1. Unless expressly stated otherwise at checkout, Portvill Account Balance top-ups and Portvill paid Services are denominated and accounted for in United States Dollars (USD).
10.2. If another currency is displayed for convenience, it may be an estimate only. Currency conversion rates may be determined by the payment processor, card issuer, bank, cryptocurrency provider, or other relevant provider.
10.3. The amount payable at checkout may include VAT, sales tax, withholding tax, service fees, payment processing fees, network fees, or other applicable charges where permitted by applicable law and payment-network rules.
10.4. Any additional amount charged to the User will be displayed before the User confirms the applicable payment where required by law.
10.5. A User's bank, card issuer, cryptocurrency exchange, or payment provider may separately impose currency-conversion or other fees over which Portvill has no control.
11.1. Portvill may make third-party payment methods available for Portvill Account Balance top-ups. Depending on availability and jurisdiction, these may include Stripe, PayPal, Paddle, BlockBee, BTCPay, cryptocurrency payment technology, and other payment service providers.
11.2. Availability of a payment method does not imply sponsorship, endorsement, partnership, or affiliation between Portvill and the payment provider beyond the technical or contractual payment-processing relationship.
11.3. Payment-card details are entered into or otherwise processed through the applicable third-party payment environment. Portvill does not store Users' complete payment-card numbers or CVV/CVC security codes on Portvill servers.
11.4. Portvill may store payment and accounting records necessary for operation of the Account Balance, including the User's registered email, amount, currency, date and time of a top-up, status of the transaction, and debits and credits made to the User's Portvill Account Balance.
11.5. The payment provider may impose additional terms, verification procedures, restrictions, fraud checks, or privacy requirements.
11.6. Portvill may temporarily delay crediting a payment where the transaction is pending, disputed, reversed, subject to fraud review, technically incomplete, or awaiting required payment or blockchain confirmations.
12.1. Portvill may offer free and paid tariff plans with different listing limits, durations, advertising discounts, support levels, and other features.
12.2. The free LITE tariff is available subject to the current conditions displayed on the Platform and may operate indefinitely unless modified in accordance with this Agreement.
12.3. Paid tariff plans may be offered for monthly, annual, or other periods displayed before purchase.
12.4. Payment for a tariff plan is deducted from the User's Portvill Account Balance.
12.5. Portvill does not currently require the User to establish an automatic recurring Stripe subscription in order to renew a Portvill tariff plan. Where an automatic renewal option is enabled inside the Portvill account, renewal is attempted against the existing Portvill Account Balance only.
12.6. Automatic tariff renewal occurs only if the User has enabled the applicable renewal option and sufficient Portvill Account Balance is available at the time renewal is due.
12.7. Portvill does not automatically charge the User's bank card through Stripe solely because the internal tariff auto-renewal option is enabled, unless a separate recurring payment authorization is explicitly introduced and accepted by the User in the future.
12.8. Users may disable internal tariff auto-renewal through the available account controls before the next renewal.
12.9. If the Portvill Account Balance is insufficient, the paid tariff is not renewed.
12.10. When a paid tariff expires without renewal, the account may revert to the default LITE tariff. Existing listings are not necessarily deleted, but listings exceeding the applicable active publication allowance may be moved to an unpublished or "Not Published" area, removed from public display, have contact information hidden, or display a notice indicating that the listing is no longer shown.
12.11. Users may continue creating or editing listings within their account after expiration of a paid tariff, but listings exceeding the currently available publication allowance may remain unpublished until a qualifying tariff or listing slot becomes available.
13.1. A Portvill Service can be activated only where the User has sufficient Portvill Account Balance to pay the applicable price.
13.2. Where sufficient balance exists and no moderation or technical hold applies, digital tariff and promotional Services are normally activated immediately after the relevant Portvill Account Balance deduction.
13.3. If a promotional Service is purchased for a newly submitted listing that is undergoing its initial mandatory moderation, the paid promotional period begins when that listing is approved for publication rather than while it is waiting for initial moderation.
13.4. If an already published listing with an active promotional Service is edited and returned to moderation, the promotional period continues to run during repeat moderation. Time spent in repeat moderation is not automatically added back, refunded, extended, or recalculated.
13.5. If Portvill cannot activate or provide a purchased digital Service due solely to a verified technical failure attributable to Portvill, the applicable amount may be returned to the User's Portvill Account Balance in accordance with Section 14.
14.1. General Rule. Because Portvill sells digital Services and Account Balance is normally used immediately or at the User's discretion to purchase those Services, payments and deductions are subject to the specific refund rules below.
14.2. Duplicate or Erroneous Account Balance Top-Up. A User may request a refund to the original payment method for a duplicate or genuinely erroneous Account Balance top-up within 14 days after the payment date, provided that the corresponding credited amount remains unused and available in the User's Portvill Account Balance.
14.3. Refund requests must be submitted to [email protected] with sufficient information to identify the transaction.
14.4. If the corresponding funds have already been used in whole or in part to purchase or activate Portvill Services, the top-up is generally not refundable to the original payment method except where required by applicable law.
14.5. Duplicate or Erroneous Internal Deduction. If Portvill verifies that the same Service was charged twice or that a Portvill system error caused an incorrect Account Balance deduction, Portvill will normally credit the verified incorrectly deducted amount back to the User's Portvill Account Balance rather than returning it to a payment card.
14.6. Portvill Technical Failure. If a purchased Service cannot be provided due solely to a verified technical failure attributable to Portvill, Portvill may restore the applicable amount to the User's Portvill Account Balance or provide another legally appropriate remedy.
14.7. Activated Services. Once a digital tariff, advertising feature, listing promotion, or other paid Service has been activated and is being provided, the amount deducted for that Service is generally non-refundable and is not converted back into cash or Account Balance merely because the User changes their mind, receives fewer inquiries than expected, sells or rents the property independently, or no longer wishes to use the Service.
14.8. Tariff Changes. If a User cancels an active paid tariff or changes to another tariff before the end of the current paid tariff period, amounts already deducted for the current tariff are not automatically refunded, prorated, recalculated, or credited toward another tariff.
14.9. Removed or Rejected Listings. If Portvill rejects or removes a listing because the listing or User violates this Agreement or Platform rules, the listing capacity may become available for another eligible listing. However, amounts already deducted for promotional or advertising Services applied to the removed listing are not refunded or recalculated except where required by applicable law.
14.10. This refund policy does not exclude or restrict any mandatory refund, withdrawal, cancellation, or consumer protection right that cannot legally be waived in the User's jurisdiction.
14.11. Where a refund to the original payment method is approved, Portvill generally initiates it promptly. Depending on the payment provider and issuing bank, the refund may take approximately 5 10 business days after approval to appear in the User's account.
15.1. A User may stop purchasing Portvill Services at any time.
15.2. Internal tariff auto-renewal may be disabled through the User's Portvill account where that control is available.
15.3. Disabling future renewal does not cancel, reverse, or prorate the current tariff period.
15.4. Portvill's current internal tariff renewal mechanism uses the User's Portvill Account Balance and is not, by itself, an authorization for Portvill to automatically recharge the User's bank card every billing period.
15.5. If Portvill introduces processor-level recurring subscriptions in the future, any such feature will require separate disclosure and authorization before activation.
16.1. If you believe a Portvill payment or Account Balance transaction is incorrect, you are encouraged to contact [email protected] before initiating a payment dispute so that we have an opportunity to investigate and resolve the issue.
16.2. Knowingly initiating a false, fraudulent, abusive, or materially misleading chargeback or payment dispute for a validly authorized payment may constitute a violation of this Agreement.
16.3. Portvill may respond to a chargeback by providing the payment processor or financial institution with relevant evidence, including account records, login records, transaction records, Account Balance history, service activation records, and communications relating to the disputed payment, to the extent permitted by applicable law.
16.4. Portvill may restrict or suspend an account where there is reasonable evidence of payment fraud, repeated abusive disputes, unauthorized use, or other serious violations of this Agreement.
16.5. Nothing in this Section prevents a User from exercising any lawful right to dispute an unauthorized, fraudulent, incorrectly processed, or otherwise legally disputable transaction.
17.1. Portvill may allow Users to top up their Portvill Account Balance using supported cryptocurrencies or blockchain payment technologies through BlockBee, BTCPay, or other supported providers.
17.2. Cryptocurrency is used only as a payment method for topping up the Account Balance for Portvill's own Services. Portvill does not operate a cryptocurrency exchange, custodial wallet for Users, trading platform, investment platform, or money-transfer service.
17.3. Where an Account Balance top-up is denominated in USD but paid with cryptocurrency, the cryptocurrency amount may be calculated using an exchange rate displayed or determined during checkout. The amount credited to the Portvill Account Balance is the applicable USD-denominated amount confirmed by Portvill after the required payment and blockchain confirmations.
17.4. Blockchain transactions are generally irreversible. A blockchain payment cannot ordinarily be cancelled or reversed after it has been broadcast and confirmed.
17.5. The User is responsible for sending the correct cryptocurrency, to the correct payment address, through the correct blockchain network specified at checkout.
17.6. Sending funds using an unsupported cryptocurrency, token, blockchain, contract, address, memo, tag, or network may result in permanent loss of funds. Portvill cannot guarantee recovery of incorrectly sent cryptocurrency.
17.7. Users must never provide Portvill with a cryptocurrency wallet seed phrase or private key. Portvill does not need a User's seed phrase or private key to receive a payment.
17.8. Blockchain network fees, processor fees, service fees, exchange fees, or other charges may apply and may be payable by the User where disclosed at checkout.
17.9. An Account Balance top-up may remain pending until the required number of blockchain confirmations or other payment-provider conditions have been satisfied.
18.1. Promotional Services are designed to improve the position, presentation, visibility, prominence, or exposure of a listing within the Platform according to the features described for the purchased Service.
18.2. Portvill does not guarantee that purchasing advertising or promotional Services will result in any particular number of impressions, views, clicks, inquiries, calls, messages, bookings, leads, sales, rentals, revenue, profit, or other commercial outcome.
18.3. Statements, examples, comparisons, multipliers, percentages, descriptions such as "more views", "more responses", "maximum exposure", "high demand", or other performance-oriented wording appearing in promotional materials are marketing estimates, illustrative statements, historical observations, or descriptions of intended visibility unless an explicit written guarantee with measurable conditions is separately stated.
18.4. Actual results depend on factors outside Portvill's control, including location, property type, price, market demand, listing quality, photographs, competition, seasonality, User responsiveness, and visitor behavior.
Users must not use Portvill to publish, promote, facilitate, or engage in:
20.1. Users may not use the Platform or Portvill payment functionality where such use would violate applicable sanctions, anti-money-laundering laws, export-control rules, payment-network requirements, or other applicable laws.
20.2. Portvill may restrict access, payment methods, Services, countries, accounts, listings, or transactions where reasonably necessary for legal, sanctions, security, fraud-prevention, payment-provider, or compliance purposes.
20.3. Portvill may request additional information where reasonably necessary to investigate suspected fraud, sanctions exposure, or unlawful activity.
21.1. Portvill may provide functionality allowing Users to send inquiries or messages relating to listings.
21.2. Messages transmitted through Portvill may be stored to operate the communication functionality, maintain records, investigate abuse or fraud, protect Users, resolve disputes, and comply with applicable law as described in the Privacy Policy.
21.3. Portvill does not guarantee that another User will respond to an inquiry or message.
22.1. Portvill may connect prospective buyers, tenants, Guests, or other Users with property owners, agents, agencies, developers, property managers, hotels, or Hosts.
22.2. Portvill does not guarantee the identity, legal authority, property ownership, licenses, availability, quality, condition, legality, title, profitability, investment value, or performance of a property or third party merely because information appears on the Platform.
22.3. Users should independently verify property information, ownership, contracts, legal status, permits, title, taxes, condition, professional licenses, and counterparties before entering into any transaction.
22.4. Any property purchase, rent, booking, deposit, commission, or other payment made outside Portvill is governed by the agreement between the relevant parties and the applicable payment provider.
22.5. Portvill is not responsible for refunds, deposits, cancellation policies, or payment disputes relating to property transactions or accommodation payments made directly between Users and third-party providers.
23.1. Except for User Content and third-party materials, all rights, title, and interest in the Portvill Platform, software, design, layout, databases, trademarks, logos, code, interfaces, and original content belong to Portvill or its licensors.
23.2. Users may not copy, reproduce, scrape, extract, republish, sell, reverse engineer, commercially exploit, or create unauthorized derivative databases from protected portions of the Platform except where permitted by law or with prior written authorization.
24.1. The Platform may contain links to or integrations with third-party websites, payment providers, maps, analytics providers, social networks, messaging services, or other services.
24.2. Third-party services are governed by their own terms and privacy policies.
24.3. Portvill is not responsible for independently operated third-party websites or services merely because they are linked from or integrated with Portvill.
25.1. Portvill may warn, restrict, suspend, unpublish, or terminate accounts or content where reasonably necessary because of fraud, unlawful activity, security threats, payment abuse, sanctions, repeated rule violations, infringement, false information, or material breach of this Agreement.
25.2. Where appropriate and legally permissible, Portvill may provide the User an opportunity to correct a violation before termination.
25.3. A User may delete their account using the account functionality made available by Portvill.
25.4. Deleting an account does not automatically create a right to withdraw unused Portvill Account Balance as cash. Before deleting an account, the User should request any refund for which the User is eligible under Section 14.
25.5. Sections that by their nature should survive termination, including payment obligations, intellectual property, dispute provisions, limitations of liability, and legal-compliance provisions, remain effective to the extent necessary.
26.1. To the fullest extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis.
26.2. Portvill does not guarantee uninterrupted or error-free operation, uninterrupted availability of a particular listing, continuous availability of a payment provider, or that every third-party listing is accurate.
26.3. To the fullest extent permitted by law, Portvill is not responsible for discrepancies between a listing and the actual property, actions or omissions of property owners or other Users, overbooking, refusal of entry, injuries or property damage occurring at a property, fraudulent representations by third parties, or third-party payment disputes relating to transactions not collected by Portvill.
26.4. Nothing in this Agreement excludes or limits liability that cannot legally be excluded, including liability where exclusion would violate applicable consumer law.
27.1. Portvill processes personal data in accordance with the Portvill Privacy Policy available at:

27.2. By using the Platform, you acknowledge that personal data may be processed as described in the Privacy Policy.
Neither party will be liable for delay or failure to perform obligations caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, major power or telecommunications failures, blockchain outages, payment-network failures, cyberattacks not caused by that party's failure to use reasonable safeguards, or similar events, except where applicable law provides otherwise.
29.1. Portvill may amend this Agreement from time to time to reflect changes in the Platform, Services, payment functionality, laws, regulatory requirements, security practices, or business operations.
29.2. The updated version will be published on this page with a revised "Last Updated" date.
29.3. Where required by law or where a change materially reduces Users' rights or materially increases their obligations, Portvill will provide additional notice or seek consent as required.
29.4. Continued use of the Platform after an amendment becomes effective constitutes acceptance to the extent permitted by applicable law.
30.1. Except where mandatory consumer-protection law provides otherwise, this Agreement and disputes arising out of or relating to it are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
30.2. Except where mandatory law gives a User the right to bring proceedings elsewhere, disputes relating to this Agreement may be brought before courts of competent jurisdiction in Wyoming, United States.
30.3. Nothing in this Agreement deprives a consumer of mandatory rights or protections that cannot legally be waived under the laws applicable to that consumer.
31.1. If any provision of this Agreement is held invalid, unlawful, or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
31.2. Failure by Portvill to enforce a provision on one occasion does not waive the right to enforce it later.
This Agreement is drafted in English. Portvill may provide translations for convenience. To the extent permitted by applicable law, the English version is the controlling version in the event of a discrepancy, ambiguity, or conflict between translations.

The Platform Operator's legal name and business address are stated exclusively in Section 1 of this Agreement so that the operator information can be maintained in one location.
