Advertising Services Agreement

This Agreement constitutes a Public Offer (hereinafter referred to as the “Offer”) by Portvill.com (hereinafter referred to as the “Contractor”) to any legal entity or natural person (hereinafter referred to as the “Customer”), expressing readiness to use the advertising, informational, and booking-facilitation services of the Contractor and accepting the terms of this Offer.

1. TERMS AND DEFINITIONS

For the purposes of this document, the following terms are used with the meanings defined below:

1.1. Offer – the public offer of the Contractor, addressed to any person, to conclude an agreement for the provision of services, posted on the Internet at: https://portvill.com/company/open
1.2. Acceptance – full and unconditional acceptance of the Offer by performing the actions specified in Section 6 of this Offer.
1.3. Host (Customer) – a person who has undergone the registration procedure and uses the Site to advertise properties and receive booking inquiries.
1.4. Visitor (Guest) – any person who enters the Site intending to search for real estate and/or perform a booking action.
1.5. Materials – advertising and informational content provided by the Customer (listings, descriptions, photos, banners).
1.6. Booking Services – technical functionality provided by the Contractor that allows Visitors to send inquiries, check availability, and initiate a reservation of the Customer's properties through the Site.

1.8. Site – the set of software and information resources located at the domain portvill.com.
1.9. Personal Account – a dedicated software interface for the Customer to manage Materials, view Statistics, and handle Booking inquiries.

2. SUBJECT OF THE AGREEMENT

2.1. The Contractor undertakes to provide the Customer with a complex of Services, including the placement of Materials and the provision of technical tools for Booking facilitation, and the Customer undertakes to accept and pay for them in accordance with the terms of this Agreement.
2.2. Portvill.com acts solely as an intermediary platform. It is not a party to any rental or lease agreements concluded between the Customer (Host) and the Visitor (Guest).
2.3. The specific list of activated Services is determined by the Customer’s selection in the Personal Account or the paid invoice.

3. CONDITIONS FOR THE PROVISION OF SERVICES & BOOKING RULES

3.1. Information Integrity: All information placed by the Customer must be accurate, legal, and up-to-date. Inaccurate availability calendars or pricing are grounds for account suspension.
3.2. Listing Standards:
3.2.1. Only one real estate object per listing is permitted.
3.2.2. External links to third-party resources not affiliated with Portvill.com are prohibited.
3.2.3. Duplicate listings of the same object are not allowed.
3.3. Booking Facilitation:
3.3.1. The Contractor provides the technical "Booking" or "Request" buttons to facilitate contact. The Customer is obliged to respond to incoming inquiries within a reasonable timeframe (typically 24 hours).
3.3.2. The Customer is prohibited from bypassing the Site’s communication tools to avoid platform terms if the initial contact originated on Portvill.com.
3.3.3. The Customer is solely responsible for fulfilling the booking once accepted. The Contractor bears no liability for "no-shows," cancellations by either party, or discrepancies in the property condition.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. The Contractor undertakes: To maintain Site functionality and provide the Customer with access to statistics regarding views and booking inquiries.
4.2. The Contractor is entitled to:
4.2.1. Temporarily suspend services for technical maintenance.
4.2.2. Remove any Material or Booking request that violates the Site’s rules or contains fraudulent information.
4.2.3. Request documentation confirming the Customer's right to list or manage the property. Failure to provide such documents within 20 business days results in immediate termination of the Agreement.
4.3. The Customer undertakes: To handle Guests' personal data obtained through the Site in strict accordance with international privacy laws (e.g., GDPR) and never transfer such data to third parties without consent.

5. COST OF SERVICES AND SETTLEMENT PROCEDURE

5.1. The cost of Services is determined by the current Tariffs: https://ustr.gov/trade-topics/presidential-tariff-actions.
5.2. Services are provided on a 100% prepayment basis.
5.3. Fiat Currencies: Payments are accepted in US Dollars (USD) and Euros (EUR).
5.4. Cryptocurrency Payments: The Contractor accepts digital assets including Bitcoin (BTC), Tether (USDT), and USD Coin (USDC). The exchange rate is fixed at the moment the transaction is initiated.
5.5. All transaction fees (bank commissions or blockchain network fees) are the responsibility of the Customer.
5.6. The Contractor does not process refunds for Guest stays; all financial disputes regarding the actual rental must be resolved directly between the Host and the Guest.

6. ACCEPTANCE OF THE OFFER

6.1. Acceptance of this Offer occurs upon the earliest of:
6.1.1. Completion of the Registration procedure on Portvill.com.
6.1.2. The first payment made to the Contractor's accounts via any available method.

7. LIABILITY

7.1. The Customer is liable for the legality of the rental services provided to Guests and any claims regarding the property's condition.
7.2. The Contractor is not liable for loss of profit or any indirect damages resulting from Site outages or the actions of Visitors (Guests).
7.3. Any disputes regarding bookings, deposits, or rental payments are strictly between the Guest and the Host.

8. FINAL PROVISIONS

8.1. The Contractor reserves the right to modify this Offer at any time. Changes take effect upon publication on the Site.
8.2. All official communication regarding this Agreement must be directed to: [email protected].
8.3. This Offer has been drafted in English. While translations into other languages may be provided for convenience, the English version shall be the legally binding and controlling document. In the event of any discrepancy, ambiguity, or conflict between the English version and any translated version, the English version shall prevail.

9. FORCE MAJEURE & DISPUTE RESOLUTION

9.1. Neither party shall be held liable for any delay or failure in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, acts of war, terrorism, or major internet infrastructure outages.
